54/2021 Conclusion of a contract for the supply of containers for the Polish Armed Forces

Article 17 (1) MAR – confidential information.

The Management Board of Zakład Budowy Maszyn “ZREMB-CHOJNICE” S.A.(“Issuer”, “Company” ) concerning current report no. 48/2021 of November 24, 2021, informs that today, ie. December 22, 2021, the Issuer received a signed agreement concluded with a company operating on the international and Polish market, based in Poland, providing solutions for the protection of classified and sensitive information and solutions in the area of special production (“Ordering Entity”), within the framework of which, the Ordering Entity ordered the Issuer to manufacture specialized containers intended for the Polish Armed Forces requiring CSC approval, and additional fastening systems for military vehicles. The order will be manufactured by the requirements of the Allied Quality Assurance Publication (AQAP) system, a NATO publication that specifies requirements for quality assurance of defense products. The containers are to be designed for land, sea, and air transport, and will also be subject to ATTLA (Air Transportability Test Loading Activity) certification.

The value of the subject of the contract is PLN 6,100,920 net. The agreement provides for the possibility for the Purchasing Entity to claim contractual penalties in the event of untimely or improper performance of the subject of the agreement in the amount of up to 0.1% of the gross remuneration for each commenced day of delay, while the limit of contractual penalties that may be imposed on the Issuer for untimely or improper performance of the subject of the agreement is up to 10% of the gross remuneration.

The implementation of the agreement has been divided into IV stages. The implementation of the last stage of the agreement has been scheduled no later than 27 months from the date of this agreement. The containers will be subject to acceptance procedures conducted by the Regional Military Representative Office competent for the Issuer’s headquarters, thus the delivery of products within the framework of individual stages will be preceded each time by military acceptance procedures.

Other terms and conditions of the agreement do not differ from those commonly used for this type of agreement. The criterion for recognizing an agreement as material is the value of the subject of the agreement.
