5\/2024 Registration of the Issuer's share capital increase<\/h1>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Legal basis: Art. 56 (1) (2) of the Act on Offering – current and periodic information.<\/strong><\/p>

The Management Board of Zak\u0142ad Budowy Maszyn „ZREMB-CHOJNICE” S.A. _”Issuer”, „Company”_, concerning current report no. 52\/2023 of December 14, 2023, and current report no. 2\/2024 of January 30, 2024, informs that on February 2, 2024, it became aware that on February 1, 2024, the District Court Gda\u0144sk – North in Gda\u0144sk, VIII Economic Division of the National Court Register registered an increase in the Company’s share capital as a result of the issue of 300,000 series K ordinary bearer shares.<\/strong><\/p>

According to the decision, the Issuer’s share capital was increased by PLN 150,000.00, i.e. from PLN 6,850,000.00 to PLN 7,000,000.00, through the issue of 300,000 new series K ordinary bearer shares with a nominal value of PLN 0.50 each.<\/p>

In connection with the above, the Issuer’s share capital structure and the contents of \u00a7 7 of the Company’s Articles of Association are also changed, which reads as follows:<\/p>

„1. The Company’s share capital amounts to PLN 7,000,000 _in words: seven million zlotys_ and is divided into 14,000,000 _in words: fourteen million _ordinary bearer shares with a nominal value of PLN 0.50 _in words: fifty groszy_ each.<\/p>

2 The share capital is divided into:<\/p>

a_ 400,000 _word: four hundred thousand_ series A shares;<\/p>

b_ 4,000,000 _word: four million_ shares of series B;<\/p>

c_ 900,000 _word: nine hundred thousand_ series C shares;<\/p>

d_ 1,000,000 _word: one million_ series D shares;<\/p>

e_ 280,000 _word: two hundred and eighty thousand_ shares of series E;<\/p>

f_ 320,000 _word: three hundred and twenty thousand_ shares of series F1;<\/p>

g_ 497,600 _word: four hundred and ninety-seven thousand six hundred_ series F2 shares;<\/p>

h_ 1,182,400 _word: one million one hundred eighty-two thousand four hundred_ shares of series F3;<\/p>

i_ 142,500 _word: one hundred and forty-two thousand five hundred_ series G shares;<\/p>

j_ 2,754,589 _word: two million seven hundred and fifty-four five hundred and eighty-nine_ shares of series H;<\/p>

k_ 1,122,911 _word: one million one hundred and twenty-two thousand nine hundred and eleven_ shares of series I,<\/p>

l_ 400,000 _word: four hundred thousand_ series I shares 1,<\/p>

m_ 700,000 _word: seven hundred thousand_ series J shares.<\/p>

n_ 300,000 _word: three hundred thousand_ series K shares.<\/p>

3. the share capital was fully covered with cash except for the issue of series H shares taken in exchange for non-cash contributions.<\/p>

4. the Company’s shares may be redeemed pursuant to a resolution of the General Meeting.<\/p>

(5) Share capital may be increased by issuing new shares or by increasing the par value of existing shares.<\/p>

6. the Company’s shares and shares of new issues may only be bearer shares. The possibility of changing these shares into registered shares is excluded.”<\/p>

The total number of votes resulting from all issued shares is now 14,000,000 _word: fourteen million _votes.<\/p>

The amount of authorized capital remaining to be subscribed is PLN 0 _the remaining unsubscribed capital expired on December 31, 2023. _<\/p>

The consolidated text of the Company’s Articles of Association is attached to this report.<\/p>
